Associate Director/Director – Regulatory Compliance and Legal

Given the overlapping duties of the Regulatory Compliance and Legal teams, Fitch Group is actively seeking a Director or Associate Director level candidate to jointly support the Regulatory Compliance and Legal teams to be based in New York or Chicago.

The Regulatory Compliance team is responsible for acting as the primary point of contact for Fitch Group’s regulators, and managing the inquiry and examination process. It is also responsible for making regulatory submissions, filings, notifications and disclosures to regulators. It further addresses compliance-related questions and issues from staff, and provides advice in enhancing policies, procedures and controls. Lastly, it is responsible for analyzing, investigating and handling conduct-related complaints and internal incidents. Regulatory Compliance is divided into four regional teams: North America; Latin America; Europe Africa & Middle East; and Asia Pacific.



The Legal team is responsible for addressing the legal issues involved in the operations of Fitch Group. It provides guidance on corporate, transactional, litigation and regulatory matters. It also reviews and drafts transactional documents, internal policies and procedures and regulatory filings. The Legal team is comprised of 13 attorneys based in 5 cities: New York, London, Madrid, Hong Kong and Tokyo.



The successful candidate will join the Regulatory Compliance North America (“NAM”) team, and will have a dual reporting line to the NAM Head of Regulatory Compliance, who is based in Chicago and a Deputy General Counsel, who is based in New York.

The individual will work closely with his or her Regulatory Compliance and Legal colleagues in New York and in the other regions, along with Business Relationship Management, Operations, Human Resources and other internal support and control functions. The individual will gain an understanding of both Fitch Group’s business and operations, and the rules and regulations under which it operates.



What We Offer:

The Compliance Department’s mission is to deliver a proactive, globally harmonized but locally anchored compliance risk management program designed to facilitate delivery of high-quality products and services in a manner that meets regulatory expectations, industry best practices and Fitch Group’s Code of Conduct. Compliance is comprised of four main teams: Regulatory Compliance, Personal Conflicts Monitoring, Compliance Testing & Monitoring and Compliance Data, Systems & Metrics.
The Legal Department’s mission is to not only provide timely, informed counsel to its clients that enables them to properly evaluate the legal implications of Fitch Group’s issues, but also to draft the documents and review the transactions associated with the operation of its business.
We’ll Count on You To:

Regulatory Matters: (i) providing advice and guidance to Fitch Group on compliance with relevant laws, rules and regulations, including US, UK and EU laws and regulations, (ii) assisting with and responding to regulatory examinations and inquiries, involving among other entities, the SEC, ESMA and FINRA and (iii) supporting as needed, Fitch Group regulatory filing obligations with regulators, including the SEC, ESMA and the FCA;
Internal Reviews and Investigations: conducting internal reviews and investigations designed to analyze and resolve internal incidents, and complaints from third parties, relating to a breach of a law, rule regulation or internal compliance requirement, and coordinating and reporting on the Compliance Department’s incident and complaint handling process globally;
Managing Compliance Policies and Procedures: creating new policies and amending existing policies where necessary and managing the annual review process;
Compliance Training and Communications: creating new training and amending existing training where necessary; managing mandatory Compliance training modules; creating annual bespoke training and managing the process of presenting that training; creating ad hoc Compliance communications to stakeholders throughout Fitch Ratings;
Corporate Secretarial: (i) maintaining and preparing corporate minute books, (ii) handling routine corporate secretarial work (e.g. preparing secretarial certificates), (iii) obtaining apostilles for documents to be provided to foreign counterparties and (iv) assisting with the organization and preparation of board books for quarterly board meetings;
Litigation Matters: (i) Receiving and logging third party subpoena requests, preparing objection letters and other correspondence, requesting relevant documents from internal parties, and handling production of documents/emails, including bate stamping of documents, (ii) establishing and tracking legal holds, (iii) conducting searches with Lexis/Westlaw/Pacer and other search tools and (iv) conducting eDiscovery searches on email in Exterro (Fitch’s eDiscovery tool);
Special Projects: (i) participating in (or leading) global projects or initiatives designed to enhance the compliance control environment and (ii) participating in Compliance Risk Assessments and Operational Risk Assessments; and
Administrative Matters: (i) maintaining calendars, (ii) handling travel, phones, billing expenses and systems, (iii) creating and revising Word documents, Excel spreadsheets and Power Point presentations and (iv) performing other administrative tasks.
What You Need to Have:

This position will suit a professional and dynamic individual who has strong experience working either as a paralegal or in compliance within the financial services sector. Given the very broad range of responsibilities, the individual will have to be willing to learn new skills while performing his or her existing duties at a high-level. The individual will have to be highly motivated, self-sufficient, intellectually curious, and able to function with a high degree of autonomy. In particular, the successful candidate will possess or demonstrate the following:
Experience as a paralegal and/or supporting the regulatory or compliance programs of large, multi-national, financial services firms
Required: Undergraduate degree
Required: Native-level proficiency in the English language, with exceptional verbal, writing, editing and interpersonal skills. Additional language skills a strong plus
Required: The ability to effectively represent Compliance and Legal in meetings with directors, senior management and regulators
Required: Experience in analyzing, interpreting and advising on regulatory requirements, with strong knowledge of the securities laws and/or CRA laws in the United States
A high level of independence, energy and integrity, with a respect for, and an understanding of, a diversity of opinions, styles and cultures
A collaborative approach to project delivery and achieving results, with the ability to interact, influence, and communicate effectively across all levels of the organization
Ability to work under pressure while paying close attention to details, with excellent organizational skills and the ability to multitask and prioritize high volume, high priority initiatives, in line with meeting regulatory and/or reporting deadlines in a timely fashion


What Would Make You Stand Out:

Paralegal qualifications and international experience would be advantageous
Experience in supporting the regulatory or compliance programs of large, multi-national, financial services firms or credit rating agencies.

FOR NEW YORK ROLES ONLY: Expected base pay rates for the role will be between $100,000 and $115,000. Actual salaries will be determined on an individualized basis and may vary based on factors including but not limited to education, training, experience, past performance, and other job-related factors. Base pay is one part of Fitch’s total compensation package, which, depending on the position, may also include commission earnings, discretionary bonuses, long-term incentives, and other benefits sponsored by Fitch.
