Job Description
Negotiate and draft various procurement contracts, with a particular focus on SaaS agreements, product licenses, software licenses, assignments, and amendments.
Ability to advise on data privacy and data security issues (legal and commercial).
Interface with suppliers to finalize terms in a timely and satisfactory manner.
Provide timely and informed support to key internal stakeholders at all levels, including for Sourcing, Procurement, Legal, Treasury, Finance, Insurance, Tax, Sales, and Projects. This includes providing succinct and accurate risk evaluation to management, helping the organization understand basic legal and contract concepts, helping to close out tough and/or complex negotiations, ensuring that important company initiatives are implemented, supporting special-purpose and strategic agreements
Contribute to business strategy by proposing and implementing creative solutions that further business objectives while minimizing or mitigating risk.
Ensure proper and consistent administration of applicable contracts from cradle to grave.
Establish and maintain exceptional working relationships with counterparts in the Supply Chain and Legal and contracts environments.
Guide deviation approvals through the appropriate approval process. Ensure all appropriate stakeholders are advised and all approvals are properly obtained and documented.
Regularly lead effective training initiatives for internal stakeholders, including occasionally developing course content.
Participate in or lead, the development and maintenance of relevant sourcing and procurement contracting procedures and templates.
You are meant for this job if:
Bachelor’s degree in Law, Juris Doctorate, or applicable Master’s degree.
Bachelor’s Degree in Business Management, Supply Chain, Engineering, Law, Political Science, Economics or a related field. Applicable Master’s degree or Juris Doctorate is preferable.
7-10 years of experience reviewing, drafting, negotiating, and managing contracts. Good understanding of data protection, data governance, and privacy; specific knowledge and experience in US and EU privacy laws.
Experience analyzing cross-board data processing risks, with particular focus on reviewing Data Protection Addendums and Standard Contract Clauses.
Excellent communication, negotiation, and interpersonal skills.
Ability to analyze complex contracts, mitigate risks, and develop effective strategies.
Strong organizational and time management abilities, with the capacity to prioritize and manage multiple tasks in a fast-paced environment.
Fluent in English, conversational knowledge of Portuguese, and Spanish a plus.
