As the Corporate and Securities Paralegal, you will play an important role in supporting the core functions of a global public company legal department. Bio-Rad conducts business around the globe, and you will be involved with helping to monitor and report activities involving diverse countries and cultures. You will work closely with the Associate General Counsel - Public Reporting/M&A to develop public filings and disclosures (10K, 10Q, 8K, Section 16 filings etc.) and work on important M&A initiatives, including being a key member of the due diligence team as well as managing the development and organization of key closing documents. You will also support corporate governance functions, including the Board of Directors, and provide legal input on key public facing documents, including the Company’s sustainability report, press releases and investor presentations.
This position requires a professional demeanor, executive thinking, critical attention to detail, independent initiative, and calculated decision making. Additionally, a sense of urgency, results-focus, the ability to interact with people of diverse backgrounds and cultures, a desire to learn and try new things, the ability to prioritize conflicting demands, and the ability to keep sensitive material and conversations strictly confidential are crucial. This position will direct and interact with outside counsel, as well as work with C-suite executives and the Board of Directors. The ability to build strong relationships with the various functions within Bio-Rad (including Finance, Corporate Reporting, Internal Audit, Tax, Treasury, Corporate Development, Human Resources and other operational groups), as well as with our external auditors and outside counsel, is essential.
How You'll Make An Impact:
Reporting to the Associate General Counsel – Public Reporting/M&A, some of the responsibilities of the Corporate and Securities Paralegal will include:
Performing key functions in connection with preparation and filing of 10-K’s, 10-Q’s, 8-K’s, Section 16 filings, and other required SEC filings.
Managing and assisting in drafting Board of Directors and Committee records.
Overseeing, reviewing and following-up on key corporate governance processes including quarterly Legal Risk Factor Questionnaires, annual D&O Questionnaire, and annual Board of Directors Evaluation and Assessment.
Actively working on important M&A and investment initiatives, including being a key member of the due diligence team as well as managing the development and organization of key closing documents.
Drafting and composing key documents.
What You Bring:
Education: High school diploma required. Bachelor’s degree in a relevant field highly preferable.
Work Experience: 10+ years’ experience with corporate governance and/or public reporting matters
Candidate must be capable of independent action, executive thinking, able to interact with in-house counsel and senior executives on a peer-to-peer basis, understand implications of work and be prepared to make recommendations for solutions and/or other improvements.
Excellent problem-solving skills and ability to suggest appropriate resolutions. Passionate about testing new ideas and innovating to drive results.
Strong verbal and written communication skills and solid attention to details. Ability to regularly engage with active listening and patience.
Ability to exercise sound judgment and independently determine priorities.
Excellent inter-personal skills; Ability to maintain a positive attitude, be approachable, service-oriented, poised and professional.
Location: Bio-Rad is pleased to offer the flexibility of a hybrid Work Environment for this role, 3 days on, 2 days off, working out of the Hercules, CA office.
This position is eligible for a $10,000 HIRING BONUS: Offered for a limited time only. Applicable to specific positions as labeled. Recipients must be employed at the time of payout. Payout after 30 days of employment with Bio-Rad. Offered to direct hires only. Agency hires and internal transfers are not eligible. 12 months repayment clause.

Compensation: The estimated annual salary for this position is $99,700 to $137,100 at the time of posting. Actual compensation will be provided in writing at the time of offer, if applicable, and is based on several factors we believe fairly and accurately impact compensation, including geographic location, experience, knowledge, skills, abilities, and other job permitted factors. This position is eligible for a variable annual bonus, which is dependent upon achievement of your individual objectives and Company performance.
